By accessing or using the CST Logistics Inc. ("CST Logistics") website, digital operations platform, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services. These Terms apply to all visitors, users, drivers, customers, and any other persons who access or use the Services.

2. Description of Services

CST Logistics provides intermodal trucking, drayage, and logistics services in the Chicagoland area, along with a digital platform for dispatch management, driver data capture, run tracking, rate calculation, and settlement generation. Our Services include but are not limited to intermodal drayage, local and regional drayage, rail yard support, flatbed hauling, dump trailer services, and DOT compliance management.

3. User Accounts

Certain features of our Services require you to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or at our discretion for any reason.

4. User Responsibilities

When using our Services, you agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Submit false, misleading, or inaccurate information including run records, chassis numbers, or delivery documentation
• Attempt to gain unauthorized access to other user accounts or restricted areas of the platform
• Interfere with or disrupt the integrity or performance of the Services
• Reproduce, duplicate, copy, sell, or exploit any portion of the Services without express permission
• Use automated scripts or bots to access the Services

5. Intellectual Property

The Services, including all content, features, functionality, software, text, images, and design, are owned by CST Logistics and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. You may not modify, reproduce, distribute, create derivative works from, or publicly display any content from our Services without prior written consent from CST Logistics.

6. Data Accuracy and Records

Users of our digital operations platform, including drivers and administrative personnel, are responsible for the accuracy of data entered into the system. This includes but is not limited to chassis and container numbers, location information, run records, and pre-trip inspection confirmations. CST Logistics provides tools such as OCR verification to assist with data accuracy but does not guarantee the accuracy of automatically captured data. All entries should be verified by the user before submission.

7. Service Quotes and Pricing

Quotes provided through our website or platform are estimates based on the information provided and are subject to change. Final pricing is determined by the specific requirements of each engagement and is set forth in separate service agreements between CST Logistics and the customer. Rate calculations displayed on the platform are based on established rate rules and may be subject to manual adjustment by authorized personnel.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CST LOGISTICS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Indemnification

You agree to indemnify and hold harmless CST Logistics, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
